УСЛОВИЯ ОБСЛУЖИВАНИЯ

Изложенныe ниже документы, а именно: User Agreement (Пользовательское соглашение, или Контракт),  Privacy Statement (Условия Конфиденциальности) и Prohibited Product List (Список Запрещенных Товаров) регулируют коммерческие отношения с компанией Western Bid, Inc. (именуемой далее в русском тексте — ВБ) физических и юридических лиц (именуемых далее в русском тексте – Клиент). Клиентом ВБ может быть только юридическое и/или физическое лицо, имеющее намерение продать товар и находящееся в Украине, Беларуси, Российской Федерации, Узбекистане или Казахстане. Покупатель товаров ВБ не может являться Клиентом и не должен регистрироваться на сайте ВБ.

ВБ является владельцем онлайн-технологий (именуемых далее в русском тексте – Системой), позволяющих осуществлять регулирование коммерческих отношений с Клиентом.

Приведенные ниже положения на русском языке являются выдержками из User Agreement и Privacy Statement, и не являются переводом данных документов на русский язык.

1-0. ВБ осуществляет торговую деятельность, покупая, продавая и перепродавая товары Клиента на комиссионной основе, а также предоставляя Клиенту сопутствующие маркетинговые услуги, консультационные услуги и услуги переводчиков. ВБ является промежуточным покупателем товаров Клиента, которые затем перепродает конечному покупателю. Являясь покупателем товара, ВБ оплачивает Клиенту стоимость товара и стоимость пересылки товара конечному покупателю. Процесс покупки и дальнейшей перепродажи товара Клиента (включая сопутствующие услуги по маркетингу) является обслуживанием, которое ВБ предоставляет Клиенту (в дальнейшем - Обслуживание).

1-1. ВБ обязуется предоставить обслуживание Клиенту по его запросу в случае, если этот запрос не противоречит правилам и ограничениям на обслуживание, изложенным на сайте WesternBid.com, в Системе и в данных Условиях Обслуживания.

1-2. ВБ обязуется выполнять касающиеся обслуживания требования Клиента в случае, если они не противоречат правилам и ограничениям на обслуживание и поступили в надлежащей форме в период времени, позволяющий осуществить выполнение предьявленных требований.

1-3. ВБ обязуется информировать Клиента о ходе обслуживания в формах и объемах, указанных на сайте WesternBid.com, в Системе и в данных Условиях Обслуживания.

1-4. Клиент согласен со всеми правилами и ограничениями обслуживания, изложенными на сайте WesternBid.com, в Системе и в данных Условиях Обслуживания. ВБ оставляет за собой право менять содержание сайта, Системы и данных Условий Обслуживания без предварительного уведомления Клиента. ВБ оставляет за собой право отказать Клиенту в обслуживании на любой стадии обслуживания в случае нарушения Клиентом данных Условий Обслуживания, а также в случае, если деятельность Клиента вызовет подозрения администрации ВБ в неправомерном использовании предоставляемых ВБ услуг.

1-5. Клиент согласен пользоваться предоставленным ВБ обслуживанием в том виде, в котором это обслуживание осуществляется. ВБ не несет ответственности за возможные технические и юридические аспекты, способные вызвать нарушения в обслуживании Клиента, а также не возмещает убытки, связанные с подобными нарушениями.

1-6. Клиент обязуется выполнять свои обязательства в рамках предоставляемого ВБ обслуживания, в частности: (а) предоставлять правдивую информация о товаре; (б) указывать при рекламе товара на торговых площадках информацию о налогообложении с учетом продажи товара ; (в) обеспечивать сохранность товара до момента отправки товара покупателю; (г) упаковывать товар перед отправкой с учетом дальней международной доставки и с использованием материалов, обеспечивающих сохранность товара на пути к покупателю; (д) осуществлять отправку товара, указывая предоставленные ВБ данные об адресе получателя товара и заполняя все необходимые документы и декларации в соответствии с информацией о покупателе и о стоимости товара, указанных в Системе.

1-7. Клиент берет на себя всю ответственность за пользование обслуживанием ВБ. Ни при каких обстоятельствах ВБ не навязывает Клиенту свое обслуживание и не провоцирует Клиента на нарушение законов, уставов, правил и прочих применимых к Клиенту положений.Клиент обязуется не вовлекать ВБ в споры, диспуты, конфликты, арбитражи и суды, прямо или косвенно связанные с предоставленным Клиенту обслуживанием. ВБ не предоставляет никаких сведений или документов об обслуживании Клиента третьим лицам*.

1-8. Клиент обязуется своевременно обеспечивать ВБ всей необходимой информацией для выполнения требуемого обслуживания. Это означает, что (а) Клиент обязан предоставить информацию о себе в той форме и в том объеме, который установлен при регистрации и при дальнейшем осуществлении обслуживания WB; (б) Клиент обязан предоставить всю имеющуюся у него информацию о продаваемом товаре по требованию WB, включая фотографии , описания, а также источник приобретения товара. При недостатке необходимой информации ВБ оставляет за собой право не предоставлять обслуживание Клиенту.

1-9. Клиент обязуется своевременно оплачивать счета и возмещать расходы, связанные с предоставленным ему со стороны ВБ обслуживанием. ВБ не производит обслуживание Клиента в случае, если предоставленных Клиентом средств недостаточно для требуемого обслуживания. Если в процессе предоставляемого обслуживания Клиент нанес материальный ущерб ВБ, то Клиент обязан возместить ВБ принесенный убыток в течении 14 дней с момента нанесения. Клиент согласен с тем, что ВБ может прибегнуть к адмистративным и правовым инструментам для взыскания убытка с Клиента в случае несвоевремнного возмещения либо отсутствия возмещения убытков.

1-10. ВБ возмещает частично или полностью убытки Клиента по его заявлению, и только в случае, если заявленные убытки явились результатом ошибок, допущеных служащими ВБ; при этом сумма возмещения не может превышать указанной в Системе суммы торговой сделки или стоимости предмета, являющегося объектом заявления.


1-11. ВБ не возвращает комиссию, полученную при сделке купли-продажи, кроме (а) случаев ошибок со стороны ВБ при оказании обслуживания (б) случаев, когда комиссия WB получена при обстоятельствах, не имеющих отношения к обслуживанию (в) если сделка отменена по инициативе покупателя в течении 24 часов с момента получения оплаты.

1-12. ВБ не несет ответственности за действия смежных служб и сервисов, используемых для предоставления обслуживания клиенту, но не входящих в ВБ, как то: банки, почтовые службы, интернет-провайдеры, емейл-сервисы, платежные системы и т.д. и не возмещает убытки, связанные с работой этих служб и сервисов.

1-13. ВБ не отвечает за качество и комплектацию товаров, полученных от покупателей ввиду отмены сделки купли-продажи.

1-14. ВБ не является банком либо финансовой организацией, не выпускает и не использует финансовые бумаги собственного изготовления и не оказывает финансовых услуг

1-15. ВБ не предоставляет гарантий на товары, а также не предоставляет какие-либо другие гарантии за исключением обозначенных выше условий в пп. 1-10, 1-11 и 1-12.

1-16. Регистрируясь на сайте Westernbid.com и/или Westernbid.net и/или Westernbid.us и/или Westernbid.eu клиент соглашается получать рекламную информацию в виде емейл-рассылок и/или писем от ВБ.


1-17. ВБ не предоставляет услуги Мейл Форвардинга (Mail Forwarding, «Адрес в США»).

1-18. ВБ не участвует в сделках купки-продажи и в рекламе следующих категорий товаров:

  • ЛЮБЫЕ ТОВАРЫ, произведенные в Кубе (Cuba), Северной Корее (North Korea), Ираке (Iraq), Иране (Iran), Афганистане, Бирме, Мьянме, Сомали, Зимбабве, Йемене (Yemen), Судане (Sudan), Ливии (Lebanon) и Сирии (Syria).
  • ЛЮБЫЕ МЕДИЦИНСКИЕ и оздоровительные ПРЕПАРАТЫ И ЛЕКАРСТВА для людей и животных, включая таблетки, препараты для внутривенных инъекций, препараты для наружнего применения, мази, кремы, лосьоны, средства для ванн и фитотерапиии (чай) .
  • ЛЮБЫЕ ПИЩЕВЫЕ ПРОДУКТЫ для людей и животных, включая пищевые добавки, алкогольные и любые другие напитки, БАДы и пр.
  • Чеки и прочие оплаты от партнерских программ, подарочные карты, сертификаты
  • ЛЮБЫЕ СЕРВИСЫ И УСЛУГИ, то есть всё, что не является товаром, включая членство в клубах, онлайн-обучение, информацию о работе дома, услуги по найму, услуги по сдаче в аренду, услуги СЕО и СММ, контракты на работу, консалтинговые услуги, услуги дизайнера, продажи рекламных мест и фриланс.
  • ЛЮБЫЕ ТОВАРЫ, на которых указан логотип компании, не являющейся производителем данных товаров, включая наклейки на автомобили (стикеры) с изображением логотипов производителей автомобилей, футболки с логотипами, рисунки, предметы искусства и изделия ручной работы, содержащие логотипы и/или названия брендов.
  • ЛЮБЫЕ НОВЫЕ ИЛИ ДЕЙСТВУЮЩИЕ SIM-КАР‎ТЫ, а также любые телекоммукационые сервисы и контракты,
  • ЛЮБЫЕ ПРОГРАММЫ, в том числе - для разблокировки и/или взлома/оверклока мобильных телефонов или компьютеров.
  • ЛЮБЫЕ ИЗДЕЛИЯ С МАРКИРОВКАМИ ГРУ (GRU) И ФСБ (FSB) как на самих изделиях, так и в описании изделий, а также реплики таких изделий, включая униформу, документы, награды, значки, печатную продукцию, включая изделия, произведенные этими организациями или изготовленные для пользования этими организациями, а также любые изделия или описания изделий, носящие маркировку или имеющие в описании упоминания названий организаций, находящихся под санкциями США или Евросоюза, таких как Яндекс.Деньги (Yandex.Money) ,  ВТБ24 (VTB24), Сбербанк (Sberbank) и прочих компаний и организаций из санкционного списка.
  • Изделия из меха и шкур диких или одомашненных животных, исключая кожаные куртки, галантерею и прочие изделия из кожи и шкур рогатого скота, овец, свиней, кроликов и зайцев.
  • Дикие и домашние животные, включая живых животных, туши, части тел, чучела, шкуры, и слоновую кость
  • Семена и растения, живые и засушенные, включая лекарственные травы. Исключая древесину, изделия из древесины и декоративные изделия из сухих растений.
  • ЛЮБАЯ НОВАЯ БРЕНДОВАЯ фирменная одежда западных брендов (например таких, как ADIDAS, PUMA, Michael Kors и т.п.).
  • ЛЮБАЯ БРЕНДОВАЯ Б/У ОДЕЖДА, аксессуары и галантерея (включая обувь и сумки) по цене дороже $400 USD, выставленные на торги без сертификата подлинности.
  • Части человеческих тел, включая экспонаты, муляжи и прочие имитации частей человеческих тел, органы или ткани человека, кровь и её состав, человеческие и животные эмбрионы, человеческие останки, в том числе эксгумированные или кремированные.
  • ЛЮ‎БОЕ ПРОГРАММНОЕ ОБЕСПЕЧЕНИЕ И ПРО‎ГРАММЫ в виде файлов или доступа к файлам, включая скрипты, программы для поиска товаров, программы защиты и прочие программы
  • ЛЮБЫЕ НОВЫЕ CD ИЛИ DVD с записями фильмов или музыки, или любого другого материала, автором которого не является продавец.
  • Действующие, находящиеся в обороте денежные знаки, монеты, банковские билеты, облигации и купюры (разрешается продавать денежные знаки, монеты банковские билеты, облигации и купюры ,вышедшие из употребления и имеющие только коллекционную ценность).
  • Каталитические конвертеры и испытательные трубы
  • Благотворительность, пожертвования и сбор средств, включая Kickstarter и Indigogo
  • Сотовые телефоны, продающиеся вместе с контрактами на обслуживание
  • Поддельная валюта и печати, исключая предметы искусства и сувениры
  • Наркотики и наркотические средства, психотропные вещества, в том числе в виде лекарственных препаратов, аэрозолей, дыма, воскурений и т.п., включая табак, табачные изделия и предметы для курения, кальяны, бонги, электронные сигареты или их части, а также наполнители и смеси для кальянов и электронных сигарет
  • Оборудование электроники, запрещенное Федеральной комиссией по связи (FCC)
  • Товары, на которые наложено эмбарго
  • Продажи товаров, запрещенных к пересылке в странах покупателя
  • Взрывчатые вещества, фейерверк или пиротехнические устройства или поставки материалов для них
  • Огнестрельное оружие и любые его части, включая приклады, прицелы и штыки; исключая ремни, чехлы, портупеи, патронташи, подсумки кобуры и прочие приспособления для переноски и хранения оружия.
  • Косметические препараты, наносящиеся на поверхность кожи и волос, включая кремы, масла, краски, шампуни, тени, помаду, косметические карандаши и средства для принятия ванн
  • Азартные игры
  • Правительственные документы, удостоверения личности и лицензии, включая паспорт, трудовую книжку и прочие важные документы, кроме ксерокопий документов и справок, выданных нотариальными конторами.
  • Tовары, связанные с работой правительственных учереждений и армии США – включая операционные руководства самолета, униформы служащего метро, и американскую Почтовую службу (USPS), полицейские значки и части униформы, а также мешки с почтой
  • Опасные материалы, горючее, разъедающие вещества
  • Резервирование отелей,авиабилетов, услуги Бюро путешествий
  • Прибыльная информация, купоны и скидки
  • Многоуровневый маркетинг, финансовые пирамиды, МЛМ и подобные продукты
  • Стратегические материалы, дипломатические или секретные материалы
  • Номера кредитных или телефонных карточек
  • Порнография и продукты или доступ к продуктам, которые являются порнографическими по своей природе или по содержанию
  • Спутники или оборудование кабельного телевидения США и сопутствующие аппаратные средства
  • Программное обеспечение и ключи от него, поставленные электронной почтой (и любая информация или программное обеспечение, поставленное с помощью интернета (через электронную почту, вебсайт, или Факс))
  • Сертификаты на владение недвижимостью и другие ценные бумаги
  • Украденная собственность и собственность с удаленными регистрационными номерами
  • Продажи любых билетов, включая лотерейные, проездные, билеты на различные мероприятия, авиабилеты, туры и путешествия
  • Крипто-валюта, включая биткоины и пр.
  • Хостинг-сервисы, доступ к вебсайтам, дизайн, членства, поощрение или вознаграждение за членство, просмотр рекламы, а также другие бонусы, поинты или любая электронная валюта либо электронное вознаграждение, включая купоны
  • Драгоценные металлы (серебро, золото, платина) в виде руды или в слитках, порошках или в виде лома. Торговля монетами и ювелирными изделиями из драгоценных металлов разрешается после предварительного собеседования.
  • Все виды холодного оружия, в том числе раскладывающиеся ножи, ножи с пружинным механизмом и перочинные ножики, у которых лезвие больше 9 см.
  • Изделия, которые схожи по конструкции с гражданским и служебным оружием,  маркеры, пистолеты для пейнтбола/страйкбола другие части от них, электрошокеры, газовые и травматические пистолеты, средства самозащиты, такие как: газовые баллончики и спреи, содержащие перечные жидкости, кастеты, дубинки, ножи из керамики, топоры,  пилы и т.д.
  • Материалы, являющиеся радиоактивными и токсичными, а также абсолютно любые реагенты и ядосодержащие химические соединения.
  • Легковоспламеняющиеся субстанции и жидкости, включая цинковый порошок, ацетон, любой вид заправки для зажигалок, растворители, обычная парфюмерия в виде духов, одеколонов или туалетной воды (исключая лак для ногтей), эмали и клей.
  • Взрывоопасные товары (в том числе находящиеся под давлением,  а именно:  огнетушители, подушки безопасности,  баллоны аквалангов и т.д.).
  • Озоноразрушающие и загрязняющие окружающую среду вещества (любой тип аэрозоли, спреи, дезинфекторы, автосмола, сухой лёд, гербициды, инсектициды, пестициды, бытовой и медицинский мусор прочие опасные отходы).
  • Патогенные и инфицированные вещества.
  • Предметы, которые запрещены для торговли Конвенцией о международной торговле видами дикой фауны и флоры, которые находятся под угрозой уничтожения (CITES) – например: чучела, шкуры, кости, бивни редких животных
  • Опасные аккумуляторные батареи, а так же использованные, такие как: свинцово-кислотные, щелочные, включая автомобильные аккумуляторы, литиевые без устройств, испорченные или повреждённые аккумуляторы любого типа и отработавшие свой срок эксплуатации щелочные, никель-металл-гидридные (NiMH) или никель-кадмиевые (NiCd) батареи (исключая батарейки для мобильных телефонов, цифровых камер и ноутбуков)
  • Произведения искусства и культурные ценности, которые должны проходить обязательную сертификацию.
  • Информация для взрослых, на печатных и аудиовизуальных и других носителях информации, которая может классифицирована как порнография, исключая «игрушки для взрослых» (презервативы и механические и электрические предметы интимного пользования, куклы и т.п.) или произведения искусства (например: рисунок обнаженной натуры).
  • Информация на печатных, аудиовизуальных и других носителях, направленная на пропаганду нацисткой атрибутики или символики либо символика или атрибутика, похожая на нацистскую, а также любая продукция, направленная на пропаганду дискриминации по любому признаку, включая антисемитизм.
  • Товары, которые запрещены к пересылке в соответствии с актами Всемирного почтового союза и таможенным законодательством страны отправки/ назначения.
  • Вещи и предметы, которые могут из-за своих свойств нанести порчу почтовому помещению или представлять опасность для работников почты, в том числе загрязнять или портить (повреждать) другие почтовые отправления и почтовое оборудование (графитовая пыль, песок, сухой гипсовый порошок без надлежащей упаковки и т.п.)
  • Товары, содержащие призывы к осуществлению и выполнению экстремисткой и террористической деятельности или публичное поддержание и продвижение терроризма.
  • Информация и пропагандистские материалы, которые в  той или иной степени могут нанести ущерб политическим или экономическим интересам государств – участников Таможенного союза их государственной безопасности, здоровью и нравственности граждан.
  • Агитационные документы или материалы, сделанные или распространяемые с нарушением требований законодательства государств – участников Таможенного союза о выборах и референдумах.
  • Культурные древности и прочие предметы, представляющие археологическое значение.
  • Средства по уходу и защите растений, любые яды и химикаты.
  • Специализированные радиоприёмные устройства для эфирного технического радиоконтроля, а так же все сканирующие радиоприёмники.
  • Специализированные приборы, технические средства, с помощью которых можно проникнуть и обследовать любое помещение, а также несанкционированно проникнуть в транспортные средства передвижения, и прочие товары и технологии, при помощи которых имеется возможность вскрывать запирающие устройства, исключая обычный слесарный и столярный инструмент


11-19. ВБ оставляет за собой право приостановить либо прекратить обслуживание клиента в случае, если его коммерческая деятельность не соответствует правилам обслуживания ВБ.

11-20. ВБ имеет право приостановить либо прекратить обслуживание клиента в случае, если действия клиента представляются ВБ превышающими допустимый риск, либо у ВБ появились сомнения в соответствии действий клиента Условиям Обслуживания.

* Любые сведения, касающиеся Клиента, могут быть переданы ТОЛЬКО государственным службам США по решению суда или по официальному запросу этих служб. Western Bid не зарегистрирована и не имеет офисов или отделений в России, Украине и других бывших советских республиках, все данные о клиентах хранятся на защищенных серверах в США.

WESTERN BID USER AGREEMENT

PART I: ACCEPTANCE OF TERMS THROUGH USE

Western Bid (“Western Bid”, “WB”, “we”, “us” and “our”) provides this web site (the “Web Site”) subject to this User
Agreement and all modifications thereto, which include those terms and conditions expressly set out below and those incorporated by reference. “User”, “Users”, “user”, “users”,
"You", "you" and "your" refer to each company, supplier, or person that uses this Web Site.

THIS USER AGREEMENT IS A LEGALLY BINDING CONTRACT BETWEEN YOU AND WESTERN BID AND APPLIES TO YOUR USE OF THE WESTERN BID
SERVICES AND ANY RELATED PRODUCTS AVAILABLE THROUGH WESTERNBID.COM , WESTERNBID.BIZ , WESTERNBID.INFO AND WESTERNBID.US (COLLECTIVELY THE “SERVICE”).

BY ENTERING AND USING THIS WEB SITE, YOU SIGNIFY YOUR AGREEMENT TO THIS USER AGREEMENT. YOU AGREE THAT THIS AGREEMENT CONSTITUTES “A WRITING SIGNED BY YOU” UNDER ANY
APPLICABLE LAW OR REGULATION. IF YOU DO NOT AGREE TO ABIDE BY THIS USER AGREEMENT, PLEASE DO NOT ACCESS OR USE THIS WEB SITE. You must read, agree with, and accept all of the terms
and conditions contained in this Agreement and any other policies and documents on the web site, which include those terms and conditions expressly set out below and those incorporated by reference, before you may become a member of Western Bid. By accepting this Agreement, you also agree that your use of Western Bid websites and Services as well as those of our partners and associates will be governed by the terms and conditions posted on those websites. Western Bid may amend this Agreement at any time by posting the amended terms on our site. Except as stated below, all amended terms shall be effective 30 days after they are initially posted on our site.

PART II: PROVISIONS WHICH APPLY TO ALL ACCOUNTHOLDERS

1. Your Use of Westernbid.Com

In order to use the Service, you must register for an account. Users may only hold one account. Our Services are only available to individuals or businesses that can form legally binding contracts under applicable law. Without limiting the foregoing, our Service is not available to minors (under 18), persons who are suspended from our Service, or to persons who present an unacceptable level of risk.

You agree to comply with all applicable U.S. and international laws, statutes, ordinances, regulations, contacts and applicable licenses regarding your use of our Services. Failure to comply with this provision shall constitute a material breach of this User Agreement by you.

2. The Legal Relationship between You and Western Bid.

Western Bid acts as a product reseller and product shipper to help fulfill your purchase order need. We might
also act as your agent based upon your direction and your requests to use our Services by providing purchase, delivery, guarantee and dispute resolution services.

As a Buyer, by placing purchase orders and sending payments through the Service or adding funds to your balance, you appoint Western Bid as your agent to obtain the product on your behalf and to transfer the product to the recipient that you designate, subject to the terms and restrictions of this
Agreement. If the balance in your account is not sufficient to fund your payment fully, Western Bid will obtain the remaining funds per your instructions. When you send a
payment for a product, until that payment is accepted by the recipient (which may occur instantly), you remain the owner of those funds and Western Bid holds those funds and title to the product as your agent, but you will not be able to withdraw those funds or send the funds to any other recipient unless the initial transaction is cancelled. Through the Western Bid website, you can manage your account and may provide instructions to withdraw or increase the funds in your account or place a purchase order to complete a transaction.

As a Vendor, you are responsible for presenting to Western Bid correct detailed specifications and pictures of items being sold to Western Bid. You agree to grant us a nonexclusive, worldwide, royalty-free, perpetual, irrevocable, right to exercise the copyright, publicity, and database rights you have for any description and pictures of products being sold to Western Bid.

You are responsible for timely shipping products directly to the end-Buyer addresses provided by Western Bid. You cannot fail to deliver items purchased from you, unless the buyer fails to meet the posted terms or you cannot authenticate the buyer's shipping address;

All products sold to Western Bid and shipped to endBuyers must comply with Western Bid Prohibited and Restricted Items Policy published on Westernbid.com website. 3. Western Bid is a Product Reseller and Shipper.

Western Bid acts as a product reseller and shipper by creating, hosting, maintaining and providing our Service to you via the Internet. In the process of a transaction, Western Bid becomes the title holder of the product and guarantees its quality as described on the online auction. Western Bid also guarantees that the product will be delivered to the buyer. Consequently, our Service is comprised of product purchase, product delivery, product guarantee and buyer/seller dispute resolution features. All product dispute resolution issues must be directed to Western Bid exclusively, and all product
returns and exchanges must be processed through Western Bid and its facilities in United States of America.

As a re-seller, Western Bid collects all necessary Sales Tax and/or VAT.

4. User Verification.

specified and may be subject to exchange rates. In addition, you may be responsible for costs of Western Bid Services relating to mail delivery of goods and products, expenses relating to conversion of currency, and any other expenses related to your activities as a Buyer or as a Vendor.

9. Product Purchase Orders.

In order to place product purchase orders through our Service we require you to provide Western Bid with a number of forms of identification as further described and covered in our Privacy Policy and AML Compliance Policies. We require this information to authenticate your identity and to

10. Selling products to Western Bid.

In order to receive payments from Western Bid for the products being sold, you must form a detailed invoice; and you are required to provide Western Bid with a number of forms of identification as further described in our Privacy and AML Compliance Policies. We may require additional information from you depending upon your location or country of residence.

Also, when we receive an Invoice from a Vendor asking for a direct wire transfer, we verify that; (1) the bank has a SWIFT code, i.e. the bank is the member of SWIFT network (http://www.swift.com) that performs a comprehensive screening process for all of its members; (2) the bank has a web site with its license information; and (3) the User’s name and address on the bank transfer is the same as listed in our system.

All shipments to Western Bid or Western Bid customers must be accompanied with properly filled custom declarations and other required by U.S. and international law shipping documents with true, correct and up-to-date information. Failure to do so may result in rejecting shipments and in the termination of all business relations with the seller.

11. Termination of Service.

You may close your account or terminate our services at any time on the Western Bid website. Upon closure of an account, any pending transactions will be cancelled and any balances refunded to you after a final accounting. Any funds that we might hold in custody for you at the time of closure, less any applicable fees, will be paid to you, assuming all withdrawal related authentication requirements have been fulfilled.

You may not use closure of your account as a means of evading investigation - if an investigation is pending at the time you close your account, Western Bid may continue to hold your funds for up to 60 days, or as appropriate to protect Western Bid against the risk of reversals. If you are later determined to be entitled to some or all of the funds in dispute, Western Bid will release those funds to you. You will remain liable for all obligations related to your account even
after such account is closed. After the date of termination, we will use the information you provided to try to send you
any funds that we are holding in custody for you. If that information is not correct, and we are unable to complete the payment to you, your funds will be subject to applicable laws for unclaimed property.

12. Western Bid's Rights.

Without limiting other remedies, we may update inaccurate or incorrect information you provide to us, contact you electronically, by telephone or via U.S. and International mails, immediately warn our community of your actions, place a hold on funds in your account, limit funding sources and payments, limit access to an account and any or all of the
account's functions, limit withdrawals, indefinitely suspend or close your account and refuse to provide our Services to
you if: (a) you breach this Agreement or the documents it incorporates by reference; (b) we are unable to verify or authenticate any information you provide to us; (c) we believe that your account or activities pose a significant fraud risk to us; or (d) your use of your Western Bid account is deemed by Western Bid to be in violation of U.S. or International laws. Western Bid reserves the right to hold funds beyond the normal distribution periods for transactions it deems suspicious or for accounts conducting high transaction volumes
to ensure integrity of the funds. If we close your account, we will provide you notice and pay you all of the funds held
in your Western Bid account, less any appropriate adjustments for fees. Additionally, to secure your performance of this Agreement, you grant to Western Bid a lien on and security interest in your account. In addition, you acknowledge that Western Bid may setoff against any accounts you own for any obligation you owe Western Bid at any time and for any reason allowed by law. These obligations include both secured and unsecured debts and debts you owe individually or together with someone else. Western Bid may consider this Agreement as your consent to Western Bid's asserting its security interest or exercising its right of setoff should any law require your consent. The rights described in this section are in addition to and apart from any other rights.

13. Western Bid’s Intellectual Property.

Westernbid.com, “Western Bid”, and all related logos, products and services described in this website are either trademarks or registered trademarks of Western Bid, Inc., or its licensors, and may not be copied, imitated or used, in whole or in part, without the prior written permission of Western Bid. 14. Waiver and Release.

19. Disputes.

You shall comply with all applicable U.S. and international laws, statutes, ordinances, regulations, contracts and applicable licenses regarding your use of our Services. In the event a dispute arises between you and Western Bid, our goal is to provide you with a neutral and cost effective means of resolving the dispute quickly. your home address or principal place of business). You and Western Bid agree to submit to the personal jurisdiction of the courts located within U.S., for the resolution of any and all disputes pursuant to this agreement or your use of Western Bid services. The application of the United Nations Convention of Contracts for the International Sale of Goods is expressly excluded.

You and the persons you represent may not assign this User Agreement or the rights and obligations under this User Agreement without the express prior written consent of Western Bid, which may be withheld in Western Bid’s sole discretion.

Western Bid may assign this User Agreement and its rights and obligations under this User Agreement without your consent or the consent of any persons you represent.

23. No Waiver.

WESTERN BID'S FAILURE TO ENFORCE ANY PROVISION OF THE USER AGREEMENT OR TO ACT WITH RESPECT TO A BREACH OF THE USER AGREEMENT BY YOU SHALL NOT BE DEEMED A WAIVER OF SUCH PROVISION NOR OF WESTERN BID’S RIGHT TO ACT WITH RESPECT TO SUBSEQUENT OR SIMILAR BREACHES, NOR OF WESTERN BID’S RIGHT TO ENFORCE SUCH PROVISION.

24. No partnership or Joint Entity Formed.

Nothing contained in this User Agreement shall be deemed to constitute either party as the agent or representative of the other party, or both parties as joint venturers or partners for any purpose.

25. Notice.

To the fullest extent permitted by applicable law, this Agreement and any other agreements, notices or other communications regarding your account and/or your use of the Service ("Communications"), may be provided to you electronically and you agree to receive all Communications from Western Bid in electronic form. Electronic Communications may be posted on the pages within the Western Bid website and/or delivered to your e-mail address. You may print a copy of any Communications and retain it for your records. All Communications in either electronic or paper format will be considered to be in "writing."

Failure of Western Bid to enforce any provision shall not be deemed to be a waiver of any rights to enforce any provision of this or any other agreement. You may not transfer any rights or obligations you may have under this Agreement
without the prior written consent of Western Bid. Western Bid reserves the right to transfer this Agreement or any right or obligation under this Agreement without your consent.

Before using our Services (as defined in the User Agreement), make sure Western Bid allows the sale of such items. Below, you will see a non-exhaustive list of prohibited and restricted items. Please, also refer to our guidelines prior to selling product on Western Bid’s website. Sellers also need to make sure that the sale of their item complies with all laws.

 

I.         GENERAL GUIDELINES

 

1. Our policies are often based on U.S. laws. Please, make sure you confirm that you are selling an item in conformance with your country’s, state’s, or province’s laws prior to using our Services. Sellers are responsible for making sure their transactions are lawful in both the country of the seller and the country of the buyer. We strongly encourage all sellers to learn about the laws of their own country as well as the countries where they plan to do business.

 

2. Compliance with U.S. federal and state laws is required. This also means that Sellers are responsible for reporting and payment of any and all sales taxes. Furthermore, this means that the Sellers are responsible for any and all import and export duties as well as any other customs compliance requirements.

 

3. Sellers are prohibited from selling items that would violate any intellectual property laws, whether in the United States or any other country. Western Bid is committed to providing a safer place to buy and sell items, as well as protecting intellectual property rights. Using intellectual property, such as copyrighted material and trademarks, in an unlawful way is considered infringement, which is against the law and Western Bid’s User Agreement.

 

4. Sellers may only use accurate and legally-compliant descriptions of the product. As a seller, you're ultimately responsible for the legality of any item you offer for sale on Western Bid and the listing describing that item.

 

5. Sellers can only sell tangible merchandise on Western Bid. »Tangible merchandise» is a physical product that is shipped to the online shopper’s physical address.

 

6. Sellers must comply with User Agreement while using Western Bid’s Services.

 

7. The list of prohibited and restricted items below covers things that Sellers cannot sell while using Western Bid’s Services.

Electronics equipment prohibited by the Federal Communications Commission (FCC )

Embargoed goods and sales to prohibited countries

Government documents, IDs, and licenses

Government, transit, and shipping-related items – examples include airplane operations manuals, subway employee uniforms, and U.S. Postal Service (USPS) mailbags
