class=\"wbua-c\" id=\"ua-1-1\"><span class=\"wbua-cn\">1.1<\/span><div class=\"wbua-ct\"><p>This User Agreement (the \u201cAgreement\u201d) is a legally binding contract between you and Western\u00a0Bid, Inc., 3500 W Hallandale Beach Blvd, Pembroke Park, FL 33023, USA (\u201cWestern\u00a0Bid\u201d, \u201cwe\u201d, \u201cus\u201d and \u201cour\u201d). It governs your supply of Products to Western\u00a0Bid for resale and your access to and use of the Services, including the Web Site, the App, the API and other Western\u00a0Bid Materials.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-1-2\"><span class=\"wbua-cn\">1.2<\/span><div class=\"wbua-ct\"><p>\u201cYou\u201d, \u201cyour\u201d and \u201cClient\u201d mean each individual or organization that registers a Western\u00a0Bid Account, uses the Services or the Western\u00a0Bid System, or supplies Products to Western\u00a0Bid as a product vendor and supplier.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-1-3\"><span class=\"wbua-cn\">1.3<\/span><div class=\"wbua-ct\"><p><strong>How you accept.<\/strong> You accept this Agreement when you confirm your acceptance during the registration of a Western\u00a0Bid Account (by checking the acceptance box or clicking the registration button). Each Order you fulfill and each Service you order confirms your acceptance of the version then in effect. Read this Agreement and the Policies before you register. You agree that your electronic acceptance constitutes \u201ca writing signed by you\u201d under any applicable law or regulation. If you do not agree to this Agreement, do not register and do not use the Services.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-1-4\"><span class=\"wbua-cn\">1.4<\/span><div class=\"wbua-ct\"><p><strong>Business use.<\/strong> You enter into this Agreement in the course of your business, trade or profession, and not as a consumer.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-1-5\"><span class=\"wbua-cn\">1.5<\/span><div class=\"wbua-ct\"><p><strong>Policies.<\/strong> The following documents published on the Web Site are incorporated into this Agreement by reference (together, the \u201cPolicies\u201d): the Fee Schedule, the <a href=\"https:\/\/westernbid.link\/western-bid-in-english\/ppl.pdf\" target=\"_blank\" rel=\"noopener noreferrer\">Acceptable Use Policy<\/a> (which contains the Prohibited Products List), the <a href=\"https:\/\/westernbid.link\/western-bid-in-english\/pp.pdf\" target=\"_blank\" rel=\"noopener noreferrer\">Privacy Statement<\/a>, the <a href=\"https:\/\/westernbid.link\/western-bid-in-english\/sh.pdf\" target=\"_blank\" rel=\"noopener noreferrer\">Shipping and Handling Policy<\/a>, the <a href=\"https:\/\/westernbid.link\/western-bid-in-english\/prp.pdf\" target=\"_blank\" rel=\"noopener noreferrer\">Product Return Policy<\/a>, the <a href=\"https:\/\/westernbid.link\/western-bid-in-english\/fp.pdf\" target=\"_blank\" rel=\"noopener noreferrer\">Fraud and Corruption Response Policy<\/a>, the <a href=\"https:\/\/westernbid.link\/western-bid-in-english\/WB%20Code%20Of%20Ethics%20And%20Conduct.pdf\" target=\"_blank\" rel=\"noopener noreferrer\">Code of Ethics and Conduct<\/a>, and the <a href=\"https:\/\/westernbid.link\/western-bid-in-english\/Western_Bid%20Terms%20and%20Conditions.pdf\" target=\"_blank\" rel=\"noopener noreferrer\">Terms and Conditions<\/a>. If you use the Western\u00a0Bid fulfillment center, the <a href=\"https:\/\/westernbid.link\/western-bid-in-english\/User%20Agreement%20for%20Western%20Bid%20Fulfillment%20Center%20Services.pdf\" target=\"_blank\" rel=\"noopener noreferrer\">User Agreement for Western\u00a0Bid Fulfillment Center Services<\/a> also applies to you.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-1-6\"><span class=\"wbua-cn\">1.6<\/span><div class=\"wbua-ct\"><p><strong>Order of precedence.<\/strong> If this Agreement conflicts with a Policy, this Agreement prevails, except that the Fee Schedule determines the amount of the fees and the User Agreement for Western\u00a0Bid Fulfillment Center Services governs the services of the fulfillment center. No Policy and no other page of the Web Site changes the relationship described in Sections 3, 14 and 29 or the dispute terms in Section 26; any statement to the contrary in them has no effect. If you and Western\u00a0Bid have signed a separate written agreement, that agreement prevails over this Agreement to the extent of any conflict.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-1-7\"><span class=\"wbua-cn\">1.7<\/span><div class=\"wbua-ct\"><p>Your use of the web sites and services of the third parties we work with, such as online marketplaces, payment companies and carriers, is also governed by the terms and conditions posted on their web sites.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-1-8\"><span class=\"wbua-cn\">1.8<\/span><div class=\"wbua-ct\"><p>This Agreement replaces the Western\u00a0Bid User Agreement revised on May 1, 2022. For Clients who registered before this version was posted, it takes effect as an amendment under Section 27.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-1-9\"><span class=\"wbua-cn\">1.9<\/span><div class=\"wbua-ct\"><p><strong>Which parts apply to you.<\/strong> The provisions on Products, Orders, the Purchase Price and Settlement apply to you when you supply Products to Western\u00a0Bid. If you only order Services, such as shipping labels or storage, ordering a Service is not by itself a sale of goods to Western\u00a0Bid; the other provisions of this Agreement apply to you.<\/p><\/div><\/div><\/section><section class=\"wbua-s\" id=\"ua-2\"><h2><span class=\"wbua-n\">2<\/span><span>Definitions<\/span><\/h2><dl class=\"wbua-defs\"><dt>API<\/dt><dd>The application programming interface provided by Western\u00a0Bid.<\/dd><dt>App<\/dt><dd>The mobile application software, the data supplied with the software and the associated media.<\/dd><dt>Business Day<\/dt><dd>A day other than a Saturday, Sunday or a public holiday in the United States.<\/dd><dt>End Buyer<\/dt><dd>A customer who purchases a Product from Western\u00a0Bid.<\/dd><dt>End Buyer Data<\/dt><dd>Personal and order information about an End Buyer that you receive in order to fulfill an Order.<\/dd><dt>Fee Schedule<\/dt><dd>The rates and fees for the Services published in the Rates section of the Web Site.<\/dd><dt>Order<\/dt><dd>An order that Western\u00a0Bid places with you through the Western\u00a0Bid System for a Product that an End Buyer has ordered from Western\u00a0Bid.<\/dd><dt>Product<\/dt><dd>An item that you supply to Western\u00a0Bid for resale to End Buyers.<\/dd><dt>Product Content<\/dt><dd>The descriptions, specifications, pictures, videos, brand names, logos and trademarks that you provide for your Products.<\/dd><dt>Purchase Price<\/dt><dd>The price Western\u00a0Bid pays you for a Product that it has purchased from you, as determined under Section 12.<\/dd><dt>Services<\/dt><dd>All products, services, content, features, technologies or functions offered by us and all related web sites, applications (including the App) and services (including the Web Site and the API).<\/dd><dt>Settlement<\/dt><dd>Western\u00a0Bid\u2019s payment to you of the Purchase Price for sold Products (settlement for sold goods).<\/dd><dt>Web Site<\/dt><dd>Any webpage where we provide Services to you, including westernbid.com, westernbid.info, westernbid.link and westernbid.us.<\/dd><dt>Western\u00a0Bid Account<\/dt><dd>The account you have opened with us on the Web Site or in the App in accordance with this Agreement for use of the Services.<\/dd><dt>Western\u00a0Bid Materials<\/dt><dd>Any software (including the App, the API, developer tools, sample source code and code libraries), data, materials, content and printed and electronic documentation (including any specifications and integration guides) developed and provided by us or our affiliates to you, or available for download from the Web Site.<\/dd><dt>Western\u00a0Bid System<\/dt><dd>The Web Site, the App, the API and the online tools through which you offer Products to Western\u00a0Bid and Western\u00a0Bid sells them to End Buyers.<\/dd><dt>Your Information<\/dt><dd>Any information you provide to us during registration, in the course of sales and Settlement, or through other features of the Services.<\/dd><\/dl><\/section><section class=\"wbua-s\" id=\"ua-3\"><h2><span class=\"wbua-n\">3<\/span><span>How Western\u00a0Bid Works<\/span><\/h2><div class=\"wbua-c\" id=\"ua-3-1\"><span class=\"wbua-cn\">3.1<\/span><div class=\"wbua-ct\"><p><strong>Western\u00a0Bid is an authorized retailer and reseller.<\/strong> You appoint Western\u00a0Bid as a non-exclusive authorized reseller of your Products. Western\u00a0Bid buys Products from you and resells them to End Buyers in its own name and for its own account, through the Western\u00a0Bid System and through online marketplaces and other e-commerce sales channels, and collects state sales tax where applicable.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-3-2\"><span class=\"wbua-cn\">3.2<\/span><div class=\"wbua-ct\"><p><strong>You are a product vendor and supplier of Western\u00a0Bid.<\/strong> By offering a Product through the Western\u00a0Bid System, you make a standing offer to sell that Product to Western\u00a0Bid at the Purchase Price. When an End Buyer orders the Product from Western\u00a0Bid, Western\u00a0Bid accepts your offer by placing an Order with you. Each Order is a separate contract of sale between you as seller and Western\u00a0Bid as buyer.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-3-3\"><span class=\"wbua-cn\">3.3<\/span><div class=\"wbua-ct\"><p><strong>Title.<\/strong> Title to a Product passes from you to Western\u00a0Bid when Western\u00a0Bid places the Order or, if the Product has not yet been made or set aside for the Order at that moment, as soon as it is made or set aside. From then on Western\u00a0Bid owns the Product and resells it to the End Buyer as its owner, including when you ship the Product directly to the End Buyer on Western\u00a0Bid\u2019s instructions. You must keep the Product set aside for the Order and must not sell or pledge it to anyone else. The passing of title does not move the risk of loss, which is governed by Section 3.4.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-3-4\"><span class=\"wbua-cn\">3.4<\/span><div class=\"wbua-ct\"><p><strong>Risk of loss.<\/strong> The risk of loss of or damage to a Product stays with you until the Product is received at the facility designated by Western\u00a0Bid or, where you ship directly to the End Buyer, until it is delivered to the End Buyer.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-3-5\"><span class=\"wbua-cn\">3.5<\/span><div class=\"wbua-ct\"><p><strong>Payment follows the sale of goods.<\/strong> The End Buyer pays Western\u00a0Bid for the Product purchased. That payment belongs to Western\u00a0Bid as the seller; you have no right to it or interest in it. Your only payment right is to be paid the Purchase Price by Western\u00a0Bid, as the buyer of the Product, under Section 13. Western\u00a0Bid does not receive, hold or transmit money on your behalf.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-3-6\"><span class=\"wbua-cn\">3.6<\/span><div class=\"wbua-ct\"><p><strong>Western\u00a0Bid is responsible to the End Buyer for the sale.<\/strong> End Buyers are customers of Western\u00a0Bid. Western\u00a0Bid arranges delivery of the Product, provides customer support to End Buyers, processes returns and exchanges at its facilities in the United States, and handles End Buyer claims, disputes and chargebacks.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-3-7\"><span class=\"wbua-cn\">3.7<\/span><div class=\"wbua-ct\"><p>Western\u00a0Bid creates, hosts, maintains and provides the Services to you via the Internet. In support of the sale of Products, the Services may include product advertising, web listing design, order fulfillment, warehousing and product storage, product shipping and delivery, a customer support call center, processing of returned Products, and e-commerce education programs.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-3-8\"><span class=\"wbua-cn\">3.8<\/span><div class=\"wbua-ct\"><p>Western\u00a0Bid does not guarantee the sale of your Products or your financial success.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-3-9\"><span class=\"wbua-cn\">3.9<\/span><div class=\"wbua-ct\"><p>You agree to follow all rules and requirements published on the Web Site and the rules and regulations of the marketplaces and other sales channels through which Products are sold. You agree to use the Western\u00a0Bid System, and the e-commerce tools and manuals provided by Western\u00a0Bid, as is.<\/p><\/div><\/div><\/section><section class=\"wbua-s\" id=\"ua-4\"><h2><span class=\"wbua-n\">4<\/span><span>Eligibility and Your Account<\/span><\/h2><div class=\"wbua-c\" id=\"ua-4-1\"><span class=\"wbua-cn\">4.1<\/span><div class=\"wbua-ct\"><p>To use the Services you must register a Western\u00a0Bid Account. The Services are available only to individuals and businesses that can form legally binding contracts under applicable law. Without limiting the foregoing, the Services are not available to persons under the age of 18, to persons who are suspended from the Services, or to persons who present an unacceptable level of risk. If you do not qualify, do not use the Services.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-4-2\"><span class=\"wbua-cn\">4.2<\/span><div class=\"wbua-ct\"><p>If you register as a business entity, you represent that you have the authority to bind that entity to this Agreement.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-4-3\"><span class=\"wbua-cn\">4.3<\/span><div class=\"wbua-ct\"><p>You may hold only one Western\u00a0Bid Account per individual or organization, unless we explicitly approve the opening of additional accounts. We may refuse to create duplicate accounts for the same person. Where duplicate accounts are detected, Western\u00a0Bid may close or merge them without notification to you.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-4-4\"><span class=\"wbua-cn\">4.4<\/span><div class=\"wbua-ct\"><p>We treat all activities under a Western\u00a0Bid Account as those of the registered Client. You may use the Services only to transact on your own account and not on behalf of any other person or entity. Your Western\u00a0Bid Account may not be transferred or sold to another party.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-4-5\"><span class=\"wbua-cn\">4.5<\/span><div class=\"wbua-ct\"><p>All information you provide during registration or at any time afterward must be complete, accurate and truthful. You are responsible for keeping your mailing address, email address, telephone number and other contact information up to date in your Western\u00a0Bid Account profile.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-4-6\"><span class=\"wbua-cn\">4.6<\/span><div class=\"wbua-ct\"><p>You are responsible for keeping your login details confidential and for all activity under your Western\u00a0Bid Account. Tell us immediately if you suspect unauthorized access to your account.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-4-7\"><span class=\"wbua-cn\">4.7<\/span><div class=\"wbua-ct\"><p>We may refuse to provide, or may discontinue providing, the Services to any person or entity at any time for any reason.<\/p><\/div><\/div><\/section><section class=\"wbua-s\" id=\"ua-5\"><h2><span class=\"wbua-n\">5<\/span><span>Verification<\/span><\/h2><div class=\"wbua-c\" id=\"ua-5-1\"><span class=\"wbua-cn\">5.1<\/span><div class=\"wbua-ct\"><p>You authorize Western\u00a0Bid, directly or through third parties, to make any inquiries we consider necessary to validate your registration and verify your identity. This may include asking you to provide government-issued identification, your date of birth, a taxpayer identification number and detailed personal information, and checking the information you provide against commercial and public databases, sanctions and other restricted-party lists, and other sources. We may also ask to see your driver\u2019s license or other identifying documents at any time. If you are a business, this may also include your registration documents, information about your owners and controlling persons, and proof of the authority of the person who uses the account.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-5-2\"><span class=\"wbua-cn\">5.2<\/span><div class=\"wbua-ct\"><p>We may require you to take steps to confirm ownership of your email address and of the bank account or other financial instruments used for Settlement. You must tell us without delay about any change in your ownership, control or Settlement details.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-5-3\"><span class=\"wbua-cn\">5.3<\/span><div class=\"wbua-ct\"><p>We verify our Clients in order to comply with applicable law, including U.S. sanctions, export control and customs rules, and with the requirements of the banks, payment companies, marketplaces and carriers we work with. Verification only increases the likelihood that a Client\u2019s identity is correct; it is not a guarantee of identity.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-5-4\"><span class=\"wbua-cn\">5.4<\/span><div class=\"wbua-ct\"><p>Western\u00a0Bid reserves the right to close, suspend or limit access to your Western\u00a0Bid Account and\/or the Services if we are unable to obtain or verify this information.<\/p><\/div><\/div><\/section><section class=\"wbua-s\" id=\"ua-6\"><h2><span class=\"wbua-n\">6<\/span><span>Sanctions, Export Controls and Trade Compliance<\/span><\/h2><div class=\"wbua-c\" id=\"ua-6-1\"><span class=\"wbua-cn\">6.1<\/span><div class=\"wbua-ct\"><p>Western\u00a0Bid does not associate or conduct business with individuals or entities found on the Specially Designated Nationals and Blocked Persons List (SDN List), including known or suspected terrorists and terrorist organizations, or on any other U.S. sanctions list.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-6-2\"><span class=\"wbua-cn\">6.2<\/span><div class=\"wbua-ct\"><p>You represent, warrant and covenant, now and for as long as you use the Services, that:<\/p><ol class=\"wbua-sub\"><li><span>(a)<\/span><span>you are not located in, organized under the laws of, or a resident or a national of, any country or territory that is subject to a U.S. government embargo or to comprehensive U.S. sanctions, or that has been designated by the U.S. government as a state sponsor of terrorism;<\/span><\/li><li><span>(b)<\/span><span>you are not on the SDN List or on any other U.S. government list of prohibited or restricted parties or restricted end users, you are not subject to any other sanctions that apply to Western\u00a0Bid, and you are not owned 50% or more, directly or indirectly, or controlled by a person who is;<\/span><\/li><li><span>(c)<\/span><span>you will not supply Products that originate in, or are shipped from or through, such a country or territory, Products in which a sanctioned person has an interest, or Products whose import into the United States is prohibited; and<\/span><\/li><li><span>(d)<\/span><span>you will not ask for Settlement to a bank or account located in such a country or territory or in a country or territory listed in Section 6.3.<\/span><\/li><\/ol><\/div><\/div><div class=\"wbua-c\" id=\"ua-6-3\"><span class=\"wbua-cn\">6.3<\/span><div class=\"wbua-ct\"><p>In addition, you are eligible for a Western\u00a0Bid Account only if you are <strong>not a resident<\/strong> of one of the countries, territories and groups that Western\u00a0Bid does not serve, including those targeted by sanctions programs of the U.S. Office of Foreign Assets Control (OFAC): <strong>Russian Federation, Crimea, Luhansk (including Luhansk region), Donetsk (including Donetsk region), Republic of Belarus, Burma, Cuba, Iran, Iraq, Libya, North Korea, Syria, Sudan, Afghanistan, and the Taliban.<\/strong> The scope of the regulations, and of what Western\u00a0Bid may and may not do, varies with the specific sanctions program. For current information, refer to the OFAC web site (ofac.treasury.gov) and the EU Sanctions Map (sanctionsmap.eu). This list is Western\u00a0Bid\u2019s own business policy. It may be stricter than the law requires, and it is not a statement that the law prohibits all dealings with these places.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-6-4\"><span class=\"wbua-cn\">6.4<\/span><div class=\"wbua-ct\"><p>You are responsible for complying with United States export controls and for any violation of such controls, including any United States embargoes or other federal rules and regulations restricting exports.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-6-5\"><span class=\"wbua-cn\">6.5<\/span><div class=\"wbua-ct\"><p>You must tell us immediately if any statement in this Section 6 stops being true. If we believe that you or your Products are in breach of this Section 6, we may suspend or close your Western\u00a0Bid Account immediately and take any step required by law, including stopping an Order or a Settlement or reporting it to the authorities, without liability to you. Where the law requires Western\u00a0Bid to block or hold an amount or a Product, that requirement prevails over the Settlement and refund terms of this Agreement.<\/p><\/div><\/div><\/section><section class=\"wbua-s\" id=\"ua-7\"><h2><span class=\"wbua-n\">7<\/span><span>Compliance with Laws and Restricted Activities<\/span><\/h2><div class=\"wbua-c\" id=\"ua-7-1\"><span class=\"wbua-cn\">7.1<\/span><div class=\"wbua-ct\"><p>You agree to comply with all applicable U.S. and international laws, statutes, ordinances, regulations, contracts and applicable licenses regarding your use of the Services. Failure to comply with this provision is a material breach of this Agreement by you.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-7-2\"><span class=\"wbua-cn\">7.2<\/span><div class=\"wbua-ct\"><p>You agree not to use the Services to violate, evade or circumvent any U.S. or international law or regulation. Any such use of the Services is prohibited.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-7-3\"><span class=\"wbua-cn\">7.3<\/span><div class=\"wbua-ct\"><p>Your Information, your Product Content and your activities through the Services must not:<\/p><ol class=\"wbua-sub\"><li><span>(a)<\/span><span>be false, inaccurate or misleading;<\/span><\/li><li><span>(b)<\/span><span>be fraudulent or involve the sale of counterfeit or stolen items;<\/span><\/li><li><span>(c)<\/span><span>violate the Policies;<\/span><\/li><li><span>(d)<\/span><span>infringe any third party\u2019s copyright, patent, trademark, trade secret or other property rights, or rights of publicity or privacy;<\/span><\/li><li><span>(e)<\/span><span>violate any law, statute, ordinance, contract or regulation;<\/span><\/li><li><span>(f)<\/span><span>violate any rule or regulation of the marketplaces, payment companies and shipping companies involved in the sale of Products through the Services and the Western\u00a0Bid System;<\/span><\/li><li><span>(g)<\/span><span>be obscene or contain pornography; or<\/span><\/li><li><span>(h)<\/span><span>contain any viruses or other computer programming routines that may damage, detrimentally interfere with, intercept or expropriate any system, data or other personal information.<\/span><\/li><\/ol><\/div><\/div><div class=\"wbua-c\" id=\"ua-7-4\"><span class=\"wbua-cn\">7.4<\/span><div class=\"wbua-ct\"><p>If you use, or attempt to use, the Services for purposes other than supplying and selling Products, receiving the Services and managing your account, we may terminate your account, and you will be liable for the losses that result.<\/p><\/div><\/div><\/section><section class=\"wbua-s\" id=\"ua-8\"><h2><span class=\"wbua-n\">8<\/span><span>Product Content, Your Information and End Buyer Data<\/span><\/h2><div class=\"wbua-c\" id=\"ua-8-1\"><span class=\"wbua-cn\">8.1<\/span><div class=\"wbua-ct\"><p>You are solely responsible for Your Information and for your Product Content. You must give Western\u00a0Bid correct and detailed specifications and pictures of every Product offered through the Western\u00a0Bid System.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-8-2\"><span class=\"wbua-cn\">8.2<\/span><div class=\"wbua-ct\"><p><strong>License to Product Content.<\/strong> You grant Western\u00a0Bid a non-exclusive, worldwide, royalty-free, perpetual and irrevocable right to use, reproduce, adapt, translate, publish and display your Product Content, and to exercise the copyright, trademark, publicity and database rights you have in it and in your name, shop name and likeness as you provide them, for the purposes of advertising and selling Products and promoting the Services. Western\u00a0Bid may sublicense these rights to marketplaces, advertising platforms and service providers for the same purposes.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-8-3\"><span class=\"wbua-cn\">8.3<\/span><div class=\"wbua-ct\"><p>You represent and warrant that you own your Product Content or have all the rights needed to grant this license, and that Western\u00a0Bid\u2019s use of it will not infringe the rights of any third party.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-8-4\"><span class=\"wbua-cn\">8.4<\/span><div class=\"wbua-ct\"><p>Western\u00a0Bid may edit, decline to publish or remove any Product or Product Content at its discretion, including when it receives a complaint from a third party.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-8-5\"><span class=\"wbua-cn\">8.5<\/span><div class=\"wbua-ct\"><p>Western\u00a0Bid will use and protect Your Information in accordance with the Privacy Statement.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-8-6\"><span class=\"wbua-cn\">8.6<\/span><div class=\"wbua-ct\"><p><strong>End Buyer Data.<\/strong> You may use End Buyer Data only to fulfill Orders and to provide support for them. You may share it only with your staff, carriers and service providers who need it for that purpose and who keep it confidential. You must keep End Buyer Data secure, comply with the privacy laws that apply to you, must not use it for marketing or for any other purpose, and must tell Western\u00a0Bid without delay if it is lost or accessed without authorization.<\/p><\/div><\/div><\/section><section class=\"wbua-s\" id=\"ua-9\"><h2><span class=\"wbua-n\">9<\/span><span>Supplying Products, Shipping and Customs<\/span><\/h2><div class=\"wbua-c\" id=\"ua-9-1\"><span class=\"wbua-cn\">9.1<\/span><div class=\"wbua-ct\"><p>As a product vendor and supplier of Western\u00a0Bid, you are responsible for the timely shipping of Products to Western\u00a0Bid or directly to the End Buyer addresses provided by Western\u00a0Bid.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-9-2\"><span class=\"wbua-cn\">9.2<\/span><div class=\"wbua-ct\"><p>You must fulfill every Order unless Western\u00a0Bid cancels it, and you must tell Western\u00a0Bid immediately if you cannot fulfill an Order on time. Western\u00a0Bid may cancel an Order before you ship the Product, for example when the End Buyer cancels the purchase; its purchase of that Product is then canceled and no Purchase Price is payable for it. After shipment, Section 11.3 applies.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-9-3\"><span class=\"wbua-cn\">9.3<\/span><div class=\"wbua-ct\"><p>All Products sold to Western\u00a0Bid, including Products shipped directly to End Buyers, must comply with (a) U.S. and international shipping rules and regulations; and (b) the Acceptable Use Policy published on the Web Site, including its Prohibited Products List.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-9-4\"><span class=\"wbua-cn\">9.4<\/span><div class=\"wbua-ct\"><p>All shipments to Western\u00a0Bid or to End Buyers must be accompanied by properly completed customs declarations and the other shipping documents required by U.S. and international law, containing true, correct and up-to-date information. You are responsible for the accuracy of the description, value, tariff classification and country of origin that you declare for each Product. Failure to comply with this Section 9.4 may result in the rejection of shipments and in the termination of all business relations with you. You must give Western\u00a0Bid, on request, documents that confirm the manufacturer, origin, composition and value of a Product, and Western\u00a0Bid may stop a shipment until it receives them.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-9-5\"><span class=\"wbua-cn\">9.5<\/span><div class=\"wbua-ct\"><p>If any Product issue arises, you must provide all necessary Product and\/or shipping information to Western\u00a0Bid in a timely manner.<\/p><\/div><\/div><\/section><section class=\"wbua-s\" id=\"ua-10\"><h2><span class=\"wbua-n\">10<\/span><span>Your Warranties About Products<\/span><\/h2><div class=\"wbua-c\" id=\"ua-10-1\"><span class=\"wbua-cn\">10.1<\/span><div class=\"wbua-ct\"><p>You represent and warrant to Western\u00a0Bid that each Product you supply:<\/p><ol class=\"wbua-sub\"><li><span>(a)<\/span><span>is owned by you and is sold to Western\u00a0Bid free of any lien, claim or other right of a third party;<\/span><\/li><li><span>(b)<\/span><span>is genuine and is not counterfeit or stolen;<\/span><\/li><li><span>(c)<\/span><span>matches the specifications, pictures and description you provided, and has no defects other than those disclosed in its description;<\/span><\/li><li><span>(d)<\/span><span>complies with the laws and with the safety, labeling and marking requirements that apply to it in the country of export, in the United States and in the country of destination;<\/span><\/li><li><span>(e)<\/span><span>does not infringe any third party\u2019s copyright, patent, trademark, trade secret or other rights; and<\/span><\/li><li><span>(f)<\/span><span>is not on the Prohibited Products List.<\/span><\/li><\/ol><\/div><\/div><div class=\"wbua-c\" id=\"ua-10-2\"><span class=\"wbua-cn\">10.2<\/span><div class=\"wbua-ct\"><p>If you learn of a safety problem, a defect or a third-party claim concerning a Product, you must tell Western\u00a0Bid immediately and cooperate with any recall, withdrawal from sale or other corrective action. Western\u00a0Bid may stop the sale of a Product, make any report required by law and take reasonable corrective action without waiting for your consent. Western\u00a0Bid\u2019s review or acceptance of a Product does not confirm that it complies with the law and does not release you from your obligations.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-10-3\"><span class=\"wbua-cn\">10.3<\/span><div class=\"wbua-ct\"><p>These warranties are in addition to those implied by law and survive delivery, inspection, acceptance, payment and resale. Western\u00a0Bid\u2019s notice of a breach is timely if it is given within one year after Western\u00a0Bid learns of the End Buyer\u2019s claim, return or chargeback, or of an authority\u2019s action.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-10-4\"><span class=\"wbua-cn\">10.4<\/span><div class=\"wbua-ct\"><p>For particular categories of Products, Western\u00a0Bid may require test reports, certificates or proof of product liability insurance before it accepts or continues to sell a Product.<\/p><\/div><\/div><\/section><section class=\"wbua-s\" id=\"ua-11\"><h2><span class=\"wbua-n\">11<\/span><span>Returns, End Buyer Claims and Chargebacks<\/span><\/h2><div class=\"wbua-c\" id=\"ua-11-1\"><span class=\"wbua-cn\">11.1<\/span><div class=\"wbua-ct\"><p>All End Buyer claims and disputes concerning Products must be directed to Western\u00a0Bid exclusively. Unless agreed otherwise, all Product returns and exchanges must be processed through Western\u00a0Bid and its facilities in the United States of America, as described in the Product Return Policy.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-11-2\"><span class=\"wbua-cn\">11.2<\/span><div class=\"wbua-ct\"><p>As the seller, Western\u00a0Bid is responsible to End Buyers for the quality and condition of each Product as described in its listing, and for its delivery. Western\u00a0Bid decides, at its discretion, whether to accept a return or to give a refund or a replacement, and how to respond to an End Buyer claim, dispute or chargeback.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-11-3\"><span class=\"wbua-cn\">11.3<\/span><div class=\"wbua-ct\"><p><strong>Canceled purchases and price adjustments.<\/strong> If a Product is returned or refunded, or the End Buyer\u2019s payment for it is reversed or charged back, Western\u00a0Bid may cancel its purchase of that Product from you or, where the refund is partial, reduce the Purchase Price by the corresponding part. The canceled or reduced part of the Purchase Price is not payable. If it has already been paid, you must repay it to Western\u00a0Bid, together with the return shipping cost and any chargeback fee charged to Western\u00a0Bid, within 10 Business Days after Western\u00a0Bid\u2019s request. This obligation does not depend on whether the Product is physically returned. Title to a returned Product passes back to you when Western\u00a0Bid receives it; Western\u00a0Bid then holds it at your risk and cost and handles it as described in the Product Return Policy. This Section 11.3 does not apply where the return, refund or reversal was caused solely by Western\u00a0Bid\u2019s breach of this Agreement or by loss or damage that occurred after the risk passed to Western\u00a0Bid.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-11-4\"><span class=\"wbua-cn\">11.4<\/span><div class=\"wbua-ct\"><p>You must reimburse Western\u00a0Bid for the costs it bears because of your breach of this Agreement or because of your Products, including refunds to End Buyers, chargeback fees charged to Western\u00a0Bid, return shipping, marketplace and carrier charges, and fines and penalties to the extent the law allows them to be recovered. Western\u00a0Bid will not recover the same loss twice under Sections 11, 16 and 23, and will take into account amounts you have already repaid and any recovery it actually receives from a carrier or insurer for that loss.<\/p><\/div><\/div><\/section><section class=\"wbua-s\" id=\"ua-12\"><h2><span class=\"wbua-n\">12<\/span><span>Fees, Purchase Price, Taxes and Duties<\/span><\/h2><div class=\"wbua-c\" id=\"ua-12-1\"><span class=\"wbua-cn\">12.1<\/span><div class=\"wbua-ct\"><p>All fees for the Services are set out in the Fee Schedule published on the Web Site. All fees are assessed in U.S. dollars. Western\u00a0Bid may change the Fee Schedule as described in Section 27; a change applies to Orders placed and Services ordered after it takes effect.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-12-2\"><span class=\"wbua-cn\">12.2<\/span><div class=\"wbua-ct\"><p>Purchase Prices, fees and all other amounts shown in your Western\u00a0Bid Account are stated in U.S. dollars unless otherwise specified.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-12-3\"><span class=\"wbua-cn\">12.3<\/span><div class=\"wbua-ct\"><p><strong>Purchase Price.<\/strong> The Purchase Price of each Product is the amount shown for its Order in your Western\u00a0Bid Account. Your invoice must state that amount: the invoice documents the price already agreed and does not set a new one. Western\u00a0Bid may refuse an invoice that does not match (Section 13.1). No additional or different terms in your invoice or in any other document of yours become part of this Agreement.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-12-4\"><span class=\"wbua-cn\">12.4<\/span><div class=\"wbua-ct\"><p>You also bear the cost of the Services relating to the delivery of Products, as stated in the Fee Schedule, and all other expenses of your own activities as a Client. If a carrier later adjusts the charge for a shipment you ordered, for example because of its actual weight or dimensions or a corrected address, you must pay Western\u00a0Bid the adjustment.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-12-5\"><span class=\"wbua-cn\">12.5<\/span><div class=\"wbua-ct\"><p><strong>Bank charges and currency conversion.<\/strong> Western\u00a0Bid does not convert currencies. If a bank or payment company involved in a payment converts it into another currency or charges a fee for it, the conversion loss and the fee are borne by you. For example, if Western\u00a0Bid pays the Purchase Price in U.S. dollars as invoiced and your bank converts it into another currency, you bear the conversion loss and the bank\u2019s fees.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-12-6\"><span class=\"wbua-cn\">12.6<\/span><div class=\"wbua-ct\"><p><strong>Prepayment for the Services.<\/strong> Shipping labels and certain other Services are paid for in advance. You make a prepayment to Western\u00a0Bid, and the cost of each shipping label or other Service is charged against it as you order. A prepayment is an advance payment for Western\u00a0Bid\u2019s own Services. It is used only to pay amounts you owe Western\u00a0Bid, cannot be transferred to anyone else and does not earn interest. Any unused part is refunded at your request or when your account is closed (Section 17.1), and only to you, not to a third party.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-12-7\"><span class=\"wbua-cn\">12.7<\/span><div class=\"wbua-ct\"><p><strong>Amounts you owe.<\/strong> If the amounts you owe Western\u00a0Bid exceed the amounts Western\u00a0Bid owes you, you must pay the difference within 10 Business Days after Western\u00a0Bid\u2019s request. Overdue amounts bear interest at 1% per month or, if lower, the highest rate the law allows, and you must pay Western\u00a0Bid\u2019s reasonable costs of collection.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-12-8\"><span class=\"wbua-cn\">12.8<\/span><div class=\"wbua-ct\"><p><strong>Taxes.<\/strong> You are responsible for all taxes, duties and similar charges on your income and on your activities in your country, and for any registration that your business requires. The Purchase Price includes all taxes and charges imposed in your country, and Western\u00a0Bid will not increase it for them. U.S. sales tax on sales to End Buyers is handled by Western\u00a0Bid as the seller or, where the law so provides, by the marketplace. You must give Western\u00a0Bid any tax form or certificate that it reasonably requests. Any tax that Western\u00a0Bid must withhold by law is treated as paid to you.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-12-9\"><span class=\"wbua-cn\">12.9<\/span><div class=\"wbua-ct\"><p><strong>U.S. import duties.<\/strong> U.S. import duties, tariffs and customs fees on a Product are calculated when its shipping label is created, from the value, tariff classification (HS code) and country of origin that you declare. They are charged to you together with the shipping label, and Western\u00a0Bid pays them to the customs authorities or to the carrier. The amount shown when the label is created is an estimate. If the amount finally assessed by the customs authorities or the carrier is higher, you must pay Western\u00a0Bid the difference, unless the difference was caused by Western\u00a0Bid\u2019s own calculation error. If it is lower and Western\u00a0Bid receives a refund, Western\u00a0Bid credits the refund to you.<\/p><\/div><\/div><\/section><section class=\"wbua-s\" id=\"ua-13\"><h2><span class=\"wbua-n\">13<\/span><span>Invoices and Settlement for Sold Goods<\/span><\/h2><div class=\"wbua-c\" id=\"ua-13-1\"><span class=\"wbua-cn\">13.1<\/span><div class=\"wbua-ct\"><p>Western\u00a0Bid settles with you for sold Products on the basis of your invoice. You must issue a detailed invoice for the Products sold. Western\u00a0Bid pays the Purchase Price only against your invoice and after you have completed verification under Section 5. We may require additional information from you depending on your location or country of residence. Western\u00a0Bid checks each invoice against the Orders and may ask you to correct an invoice before accepting it.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-13-2\"><span class=\"wbua-cn\">13.2<\/span><div class=\"wbua-ct\"><p><strong>When the Purchase Price is payable.<\/strong> The Purchase Price of a Product becomes payable when all of the following have happened: (a) you have shipped the Product as the Order requires; (b) Western\u00a0Bid has completed the sale of the Product to the End Buyer and has been paid for it; (c) Western\u00a0Bid has accepted your invoice for the Product; and (d) you have completed verification under Section 5. The available methods and timing of Settlement are published on the Web Site.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-13-3\"><span class=\"wbua-cn\">13.3<\/span><div class=\"wbua-ct\"><p><strong>Postponing Settlement.<\/strong> Western\u00a0Bid may postpone Settlement for a Product while (a) a return, claim, dispute, chargeback or investigation concerning that Product or your Western\u00a0Bid Account is pending, or (b) Western\u00a0Bid has not yet received final payment for its sale of that Product, for example because a marketplace or payment company has placed that payment on hold. Western\u00a0Bid may also postpone Settlement of an amount that is reasonably needed to cover returns, refunds, chargebacks or claims concerning your Products that it expects on the basis of documented facts, and will pay that amount as soon as it is no longer needed for that purpose.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-13-4\"><span class=\"wbua-cn\">13.4<\/span><div class=\"wbua-ct\"><p>Where an invoice asks for Settlement by direct bank transfer, we verify that (a) the bank has a SWIFT code, that is, the bank is a member of the SWIFT network; (b) the bank has a web site with its license information; and (c) the name and address of the account holder are the same as those listed for you in the Western\u00a0Bid System. Settlement is paid only to an account held in your own name.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-13-5\"><span class=\"wbua-cn\">13.5<\/span><div class=\"wbua-ct\"><p>Western\u00a0Bid makes reasonable efforts to pay Settlement in a timely manner, but makes no representations or warranties regarding the amount of time needed to complete a payment, because this depends largely on banks and other factors outside our control.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-13-6\"><span class=\"wbua-cn\">13.6<\/span><div class=\"wbua-ct\"><p><strong>Records.<\/strong> Western\u00a0Bid\u2019s records of Orders, Purchase Prices, fees and Settlement in the Western\u00a0Bid System are conclusive unless there is a manifest error. You must tell Western\u00a0Bid in writing about any error within 60 days after the entry first appears in your Western\u00a0Bid Account. After that, the entry is final and binding on you, except for an error that you could not reasonably have discovered within that time and except in the case of fraud.<\/p><\/div><\/div><\/section><section class=\"wbua-s\" id=\"ua-14\"><h2><span class=\"wbua-n\">14<\/span><span>Western\u00a0Bid Is Not a Money Services Business<\/span><\/h2><div class=\"wbua-c\" id=\"ua-14-1\"><span class=\"wbua-cn\">14.1<\/span><div class=\"wbua-ct\"><p>Western\u00a0Bid is <strong>not<\/strong> a \u201cMoney Services Business\u201d, and Western\u00a0Bid is not a financial institution. Western\u00a0Bid and its affiliates do not conduct currency exchanges of any kind for our Clients or the general public. We do <strong>not<\/strong> conduct peer-to-peer money transfers or exchange services of any kind, as defined by U.S. federal and state regulation. We do not offer any service to transmit money, physically or digitally, or to convert one type of currency into another. Western\u00a0Bid does not issue any debit, credit, reloadable or stored-value cards or any other monetary instruments.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-14-2\"><span class=\"wbua-cn\">14.2<\/span><div class=\"wbua-ct\"><p>Western\u00a0Bid\u2019s business is limited to the retail, wholesale or internet sale or resale of physical and digital items and to the related e-commerce services described in Section 3.7, such as e-commerce education programs, product advertising, product shipping and product storage.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-14-3\"><span class=\"wbua-cn\">14.3<\/span><div class=\"wbua-ct\"><p>Every payment between you and Western\u00a0Bid is made as part of a sale of goods or as payment for the Services: Western\u00a0Bid pays you the Purchase Price of the Products it has purchased from you, and you pay Western\u00a0Bid the fees for the Services, including by prepayment under Section 12.6.<\/p><\/div><\/div><\/section><section class=\"wbua-s\" id=\"ua-15\"><h2><span class=\"wbua-n\">15<\/span><span>Privacy and Security<\/span><\/h2><div class=\"wbua-c\" id=\"ua-15-1\"><span class=\"wbua-cn\">15.1<\/span><div class=\"wbua-ct\"><p>We treat the protection of your privacy as a very important principle. We do not sell or rent your personal information to third parties for marketing purposes without your consent, and we use Your Information only as described in the Privacy Statement.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-15-2\"><span class=\"wbua-cn\">15.2<\/span><div class=\"wbua-ct\"><p>Your Information may be transferred to, stored and processed in the United States and in other countries where Western\u00a0Bid or its service providers operate. Do not log in on any other site.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-15-4\"><span class=\"wbua-cn\">15.4<\/span><div class=\"wbua-ct\"><p>If you object to Your Information being transferred or used in this way, please do not use the Services.<\/p><\/div><\/div><\/section><section class=\"wbua-s\" id=\"ua-16\"><h2><span class=\"wbua-n\">16<\/span><span>Western\u00a0Bid\u2019s Rights<\/span><\/h2><div class=\"wbua-c\" id=\"ua-16-1\"><span class=\"wbua-cn\">16.1<\/span><div class=\"wbua-ct\"><p>Western\u00a0Bid may take the steps listed in Section 16.2 if:<\/p><ol class=\"wbua-sub\"><li><span>(a)<\/span><span>you breach this Agreement or the documents it incorporates by reference;<\/span><\/li><li><span>(b)<\/span><span>we are unable to verify or authenticate any information you provide to us;<\/span><\/li><li><span>(c)<\/span><span>we believe that your account or activities pose a significant fraud risk to us; or<\/span><\/li><li><span>(d)<\/span><span>Western\u00a0Bid deems your use of your Western\u00a0Bid Account to be in violation of the rules and regulations of the third parties Western\u00a0Bid works with (banks, financial services, payment companies, marketplaces, courier and shipping services) or of U.S. or international laws.<\/span><\/li><\/ol><\/div><\/div><div class=\"wbua-c\" id=\"ua-16-2\"><span class=\"wbua-cn\">16.2<\/span><div class=\"wbua-ct\"><p>In those cases, and without limiting its other remedies, Western\u00a0Bid may: update inaccurate or incorrect information you provide to us; contact you electronically, by telephone or by U.S. and international mail; immediately notify the affected marketplaces, payment companies, carriers and other affected parties of your actions; suspend Orders and the Services and postpone Settlement while the matter is being resolved; limit access to an account and any or all of the account\u2019s functions; indefinitely suspend or close your account; and refuse to provide the Services to you.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-16-3\"><span class=\"wbua-cn\">16.3<\/span><div class=\"wbua-ct\"><p>Western\u00a0Bid reserves the right to suspend your Western\u00a0Bid Account if the activity on it appears suspicious.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-16-4\"><span class=\"wbua-cn\">16.4<\/span><div class=\"wbua-ct\"><p><strong>Setoff.<\/strong> Western\u00a0Bid may set off or recoup any amount you owe Western\u00a0Bid, under this Agreement or any other agreement, whether or not it is yet due or its amount is finally determined, against any amount Western\u00a0Bid owes you, including the Purchase Price of any Product supplied through any of your Western\u00a0Bid Accounts and any prepayment. This includes amounts you owe individually or together with someone else. If any law requires your consent to the setoff, this Agreement is your consent. These rights are in addition to Western\u00a0Bid\u2019s other rights.<\/p><\/div><\/div><\/section><section class=\"wbua-s\" id=\"ua-17\"><h2><span class=\"wbua-n\">17<\/span><span>Closing Your Account and Termination<\/span><\/h2><div class=\"wbua-c\" id=\"ua-17-1\"><span class=\"wbua-cn\">17.1<\/span><div class=\"wbua-ct\"><p>You may close your account or stop using the Services at any time on the Web Site. You must still fulfill the Orders that Western\u00a0Bid placed before the closure, and the Services needed for those Orders continue; any other Services not yet performed are canceled. After a final accounting, Western\u00a0Bid will pay you any Purchase Price due for Products already sold and refund any unused prepayment for the Services (Section 12.6), after setting off any fees and other amounts you owe Western\u00a0Bid (Section 16.4), provided that you have completed verification under Section 5. Subject to Section 17.2, Western\u00a0Bid may complete the final accounting after the periods for End Buyer returns and payment disputes for those Products have ended, but no later than 180 days after the later of the delivery of the last Product and the completion or cancellation of the last Service.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-17-2\"><span class=\"wbua-cn\">17.2<\/span><div class=\"wbua-ct\"><p>You may not use closure of your account as a means of evading investigation. If a return, claim, chargeback or investigation concerning your Products or your Western\u00a0Bid Account is pending when your account is closed, Section 13.3 continues to apply until it is resolved, and Western\u00a0Bid may stop purchasing Products from you.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-17-3\"><span class=\"wbua-cn\">17.3<\/span><div class=\"wbua-ct\"><p>You will remain liable for all obligations related to your account even after the account is closed.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-17-4\"><span class=\"wbua-cn\">17.4<\/span><div class=\"wbua-ct\"><p>After the date of termination, we will use the information you provided to try to pay you any amount due to you under Section 17.1. If that information is not correct and we are unable to complete the payment to you, the unpaid amount will be subject to applicable laws for unclaimed property.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-17-5\"><span class=\"wbua-cn\">17.5<\/span><div class=\"wbua-ct\"><p>Western\u00a0Bid, in its sole discretion, may suspend or terminate this Agreement, your Western\u00a0Bid Account, or your access to the Web Site, the Western\u00a0Bid System or some or all of the Services, for any reason and at any time upon notice to you.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-17-6\"><span class=\"wbua-cn\">17.6<\/span><div class=\"wbua-ct\"><p>Reasons we may close your Western\u00a0Bid Account include, but are not limited to:<\/p><ol class=\"wbua-sub\"><li><span>(a)<\/span><span>you breach any provision of this Agreement or of the documents referred to in this Agreement;<\/span><\/li><li><span>(b)<\/span><span>we are requested or directed to do so by any competent court of law, government authority or agency, or law enforcement agency;<\/span><\/li><li><span>(c)<\/span><span>we have reason to believe you are in violation or breach of any applicable law or regulation; or<\/span><\/li><li><span>(d)<\/span><span>we have reason to believe you are involved in any fraudulent activity, money laundering, terrorism financing or other criminal or illegal activity.<\/span><\/li><\/ol><\/div><\/div><div class=\"wbua-c\" id=\"ua-17-7\"><span class=\"wbua-cn\">17.7<\/span><div class=\"wbua-ct\"><p>We may also suspend your Western\u00a0Bid Account if it has been compromised or for other security reasons, or if it has been used or is being used without your authorization or fraudulently.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-17-8\"><span class=\"wbua-cn\">17.8<\/span><div class=\"wbua-ct\"><p>If we close your Western\u00a0Bid Account or terminate your use of the Services for any reason, we will provide you with notice of our actions, unless the law or a security reason prevents this. Sections 17.1 to 17.4 apply in the same way when Western\u00a0Bid closes your account.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-17-9\"><span class=\"wbua-cn\">17.9<\/span><div class=\"wbua-ct\"><p>On termination for any reason, all rights granted to you in connection with the App and the Western\u00a0Bid System cease, and you must immediately delete or remove the App from your devices. Western\u00a0Bid may give you limited access or another secure channel where this is needed to complete existing Orders, returns and claims.<\/p><\/div><\/div><\/section><section class=\"wbua-s\" id=\"ua-18\"><h2><span class=\"wbua-n\">18<\/span><span>Intellectual Property and Use of the Western\u00a0Bid System<\/span><\/h2><div class=\"wbua-c\" id=\"ua-18-1\"><span class=\"wbua-cn\">18.1<\/span><div class=\"wbua-ct\"><p>Westernbid.com, \u201cWestern\u00a0Bid\u201d and all related logos and product and service names used on the Web Site are either trademarks or registered trademarks of Western\u00a0Bid, Inc. or its licensors, and may not be copied, imitated or used, in whole or in part, without the prior written permission of Western\u00a0Bid. In addition, all page headers, custom graphics, button icons and scripts are service marks, trademarks and\/or trade dress of Western\u00a0Bid and may not be copied, imitated or used, in whole or in part, without the prior written permission of Western\u00a0Bid.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-18-2\"><span class=\"wbua-cn\">18.2<\/span><div class=\"wbua-ct\"><p>Western\u00a0Bid grants you a limited, non-exclusive, non-transferable and revocable right to use the Western\u00a0Bid System and the Western\u00a0Bid Materials for the purposes of this Agreement. You must not copy, modify, reverse engineer, resell or interfere with them, collect data from them by automated means other than through the API as permitted by Western\u00a0Bid, or use them to build a service that competes with the Western\u00a0Bid System.<\/p><\/div><\/div><\/section><section class=\"wbua-s\" id=\"ua-19\"><h2><span class=\"wbua-n\">19<\/span><span>Service Availability<\/span><\/h2><p class=\"wbua-p\">We will try to make sure the Services are available to you when you need them. However, we do not guarantee that the Services will always be available or uninterrupted. We have the right to suspend, withdraw, discontinue or change all or any part of the Services without notice. We will not be liable to you if for any reason the Services are unavailable (in whole or in part) at any time or for any period. You are responsible for making all arrangements necessary for you to have access to the Services (including all hardware and telecommunications services).<\/p><\/section><section class=\"wbua-s\" id=\"ua-20\"><h2><span class=\"wbua-n\">20<\/span><span>Third Parties and Events Beyond Our Control<\/span><\/h2><div class=\"wbua-c\" id=\"ua-20-1\"><span class=\"wbua-cn\">20.1<\/span><div class=\"wbua-ct\"><p>Marketplaces, payment companies, banks, carriers and customs authorities are independent third parties. Western\u00a0Bid does not control them and is not responsible for their decisions, including account suspensions, holds or reversals of payments due to Western\u00a0Bid, delays, fees and changes to their rules.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-20-2\"><span class=\"wbua-cn\">20.2<\/span><div class=\"wbua-ct\"><p>Neither you nor Western\u00a0Bid is liable for a failure or delay in performing this Agreement that is caused by an event beyond its reasonable control, such as war or hostilities, terrorism, natural disaster, epidemic, an act of government, sanctions, a customs hold, a failure of power, internet or telecommunications, or an act or omission of a carrier, marketplace, bank or payment company. The affected party must tell the other party without delay and take reasonable steps to limit the effect. A lack of money is not such an event. This Section 20.2 does not release you from paying amounts that are already due, does not change who bears the risk of loss under Section 3.4, and does not limit Western\u00a0Bid\u2019s rights under Sections 11, 13.3, 16 and 23.<\/p><\/div><\/div><\/section><section class=\"wbua-s\" id=\"ua-21\"><h2><span class=\"wbua-n\">21<\/span><span>Disclaimer of Warranties<\/span><\/h2><div class=\"wbua-box\"><p>THE SERVICES ARE PROVIDED \u201cAS IS\u201d, \u201cWHERE IS\u201d AND \u201cWHERE AVAILABLE\u201d, WITHOUT ANY REPRESENTATION OR WARRANTY, WHETHER EXPRESS, IMPLIED OR STATUTORY. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, WESTERN\u00a0BID SPECIFICALLY DISCLAIMS ALL WARRANTIES WITH RESPECT TO THE SERVICES, INCLUDING ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.<\/p><\/div><\/section><section class=\"wbua-s\" id=\"ua-22\"><h2><span class=\"wbua-n\">22<\/span><span>Limitation of Liability<\/span><\/h2><div class=\"wbua-box\"><p>IN NO EVENT SHALL WESTERN\u00a0BID, ITS PARENT, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, LICENSORS OR SERVICE PROVIDERS BE LIABLE FOR LOST PROFITS, LOST REVENUE, LOSS OF BUSINESS OR GOODWILL, LOSS OF DATA, OR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH OUR WEB SITE, OUR SERVICES OR THIS AGREEMENT (HOWEVER ARISING, INCLUDING NEGLIGENCE), EVEN IF WESTERN\u00a0BID HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.<\/p><\/div><div class=\"wbua-box\"><p>OUR TOTAL LIABILITY, AND THE LIABILITY OF OUR PARENT, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, LICENSORS AND SERVICE PROVIDERS, TO YOU OR ANY THIRD PARTIES IN ANY CIRCUMSTANCE IS LIMITED TO THE ACTUAL AMOUNT OF YOUR DIRECT DAMAGES AND SHALL NOT EXCEED, IN TOTAL FOR ALL CLAIMS ARISING FROM THE SAME OR RELATED EVENTS, THE GREATER OF US$500 AND THE TOTAL FEES YOU PAID TO WESTERN\u00a0BID FOR ITS OWN SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, NOT COUNTING THE PURCHASE PRICE, TAXES, DUTIES, CARRIER CHARGES AND OTHER THIRD-PARTY CHARGES.<\/p><\/div><div class=\"wbua-box\"><p>NOTHING IN THIS SECTION LIMITS (A) WESTERN\u00a0BID\u2019S OBLIGATION TO PAY A PURCHASE PRICE THAT IS DUE OR TO REFUND AN UNUSED PREPAYMENT, OR (B) LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW. THIS SECTION DOES NOT LIMIT YOUR LIABILITY TO WESTERN\u00a0BID. THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.<\/p><\/div><\/section><section class=\"wbua-s\" id=\"ua-23\"><h2><span class=\"wbua-n\">23<\/span><span>Indemnification<\/span><\/h2><div class=\"wbua-c\" id=\"ua-23-1\"><span class=\"wbua-cn\">23.1<\/span><div class=\"wbua-ct\"><p>You agree to defend, indemnify and hold Western\u00a0Bid, its parent, subsidiaries, affiliates, officers, directors and employees harmless from any claim, demand, loss, liability, fine, penalty, cost or expense (including reasonable attorneys\u2019 fees) arising out of:<\/p><ol class=\"wbua-sub\"><li><span>(a)<\/span><span>your breach of this Agreement or of the documents it incorporates by reference;<\/span><\/li><li><span>(b)<\/span><span>your Products, including any claim of product liability, personal injury, property damage or recall;<\/span><\/li><li><span>(c)<\/span><span>any claim that your Products or your Product Content infringe the intellectual property or other rights of a third party;<\/span><\/li><li><span>(d)<\/span><span>inaccurate customs, shipping or tax information that you provided, including the resulting duties, taxes, penalties and seizure costs; or<\/span><\/li><li><span>(e)<\/span><span>your violation of any law or of the rights of a third party relating to your use of the Services.<\/span><\/li><\/ol><\/div><\/div><div class=\"wbua-c\" id=\"ua-23-2\"><span class=\"wbua-cn\">23.2<\/span><div class=\"wbua-ct\"><p>Section 23.1 applies whether the claim is made by a third party or the loss is suffered directly by Western\u00a0Bid. For a claim concerning a Product, it expressly includes loss caused in part by Western\u00a0Bid\u2019s own ordinary negligence as the reseller of the Product. It does not cover loss to the extent caused by Western\u00a0Bid\u2019s gross negligence or willful misconduct. An allegation of such conduct does not by itself remove your duty to pay for the defense.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-23-3\"><span class=\"wbua-cn\">23.3<\/span><div class=\"wbua-ct\"><p>Western\u00a0Bid may conduct its own defense with counsel of its choice. You must pay Western\u00a0Bid\u2019s reasonable, documented defense costs as they are incurred. You may not settle a claim against Western\u00a0Bid without its written consent.<\/p><\/div><\/div><\/section><section class=\"wbua-s\" id=\"ua-24\"><h2><span class=\"wbua-n\">24<\/span><span>Release<\/span><\/h2><p class=\"wbua-p\">If you have a dispute with a marketplace, payment company, carrier or other third party, you release Western\u00a0Bid (and our officers, directors, agents, contractors and employees) from any and all claims, demands and damages (direct and consequential) of every kind and nature arising out of or in any way connected with that dispute, except to the extent that it was caused by Western\u00a0Bid\u2019s breach of this Agreement.<\/p><\/section><section class=\"wbua-s\" id=\"ua-25\"><h2><span class=\"wbua-n\">25<\/span><span>Time Limit for Claims<\/span><\/h2><p class=\"wbua-p\">To the fullest extent permitted by applicable law, any claim you have against Western\u00a0Bid arising out of or relating to the Web Site, this Agreement or the Services must be filed within one (1) year after the claim arose; otherwise it is waived and barred as untimely. The 30-day period in Section 26.1 does not count toward this time limit. This Section 25 does not apply to Western\u00a0Bid\u2019s claims against you.<\/p><\/section><section class=\"wbua-s\" id=\"ua-26\"><h2><span class=\"wbua-n\">26<\/span><span>Disputes, Governing Law and Venue<\/span><\/h2><div class=\"wbua-c\" id=\"ua-26-1\"><span class=\"wbua-cn\">26.1<\/span><div class=\"wbua-ct\"><p><strong>Notice before court.<\/strong> In this Agreement, a \u201cClaim\u201d is any controversy or claim at law or in equity arising out of or relating to this Agreement, the Web Site or the Services. Our goal is to resolve disputes quickly and cost-effectively. Before starting court proceedings, the party with the Claim must send the other party a written notice describing it, and both parties will try in good faith to resolve it within 30 days. Western\u00a0Bid will consider reasonable requests to resolve the dispute through mediation or another alternative dispute resolution procedure. This Section 26.1 does not prevent either party from seeking urgent injunctive relief, does not delay or limit Western\u00a0Bid\u2019s rights under Sections 6.5, 11.3, 13.3, 16 and 17, and does not apply to proceedings under Section 26.4. It also does not prevent a party from starting proceedings when this is necessary to meet a deadline set by law.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-26-2\"><span class=\"wbua-cn\">26.2<\/span><div class=\"wbua-ct\"><p><strong>Governing law.<\/strong> This Agreement is governed by the laws of the State of Florida, USA, without regard to its conflict-of-law rules and regardless of where you reside. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-26-3\"><span class=\"wbua-cn\">26.3<\/span><div class=\"wbua-ct\"><p><strong>Courts.<\/strong> Any Claim must be brought exclusively in the state courts located in Broward County, Florida, or, where that court has jurisdiction over the subject matter, in the United States District Court for the Southern District of Florida. You and Western\u00a0Bid submit to the personal jurisdiction of those courts and waive any objection to venue there, including that they are an inconvenient forum. Every amount you owe Western\u00a0Bid under this Agreement is payable at Western\u00a0Bid\u2019s office in Broward County, Florida. To the extent permitted by the applicable rules of procedure and international conventions, you agree that court documents may be served on you by email and by courier at the addresses in your Western\u00a0Bid Account, in addition to any other lawful method.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-26-4\"><span class=\"wbua-cn\">26.4<\/span><div class=\"wbua-ct\"><p><strong>Western\u00a0Bid\u2019s additional option.<\/strong> Despite Section 26.3, Western\u00a0Bid may bring any Claim against you, including a Claim for payment or for interim or injunctive relief, and may enforce any judgment or order, in the courts of any country where you reside, have your place of business or have assets. Starting such a proceeding does not waive Section 26.3 for any other Claim.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-26-5\"><span class=\"wbua-cn\">26.5<\/span><div class=\"wbua-ct\"><div class=\"wbua-box\"><p>JURY TRIAL WAIVER. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND WESTERN\u00a0BID EACH WAIVE THE RIGHT TO A TRIAL BY JURY IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE WEB SITE OR THE SERVICES.<\/p><\/div><\/div><\/div><div class=\"wbua-c\" id=\"ua-26-6\"><span class=\"wbua-cn\">26.6<\/span><div class=\"wbua-ct\"><div class=\"wbua-box\"><p>NO CLASS ACTIONS. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND WESTERN\u00a0BID MAY EACH BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING.<\/p><\/div><\/div><\/div><div class=\"wbua-c\" id=\"ua-26-7\"><span class=\"wbua-cn\">26.7<\/span><div class=\"wbua-ct\"><p><strong>Attorneys\u2019 fees.<\/strong> In any court proceeding arising out of or relating to this Agreement, including on appeal, the prevailing party is entitled to recover its reasonable attorneys\u2019 fees and costs from the other party, in addition to any other relief to which it may be entitled.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-26-8\"><span class=\"wbua-cn\">26.8<\/span><div class=\"wbua-ct\"><p>Disputes between you and Western\u00a0Bid regarding the Services may be reported to Customer Support at any time by email to sales@westernbid.com, by calling +1 (305) 307-0382, or in writing to Western\u00a0Bid, Inc., 3500 W Hallandale Beach Blvd, Pembroke Park, FL 33023, USA.<\/p><\/div><\/div><\/section><section class=\"wbua-s\" id=\"ua-27\"><h2><span class=\"wbua-n\">27<\/span><span>Changes to This Agreement<\/span><\/h2><div class=\"wbua-c\" id=\"ua-27-1\"><span class=\"wbua-cn\">27.1<\/span><div class=\"wbua-ct\"><p>Western\u00a0Bid may amend this Agreement and the Policies at any time, at its sole discretion, by posting the amended version on the Web Site. Any other change to this Agreement requires a written agreement signed by Western\u00a0Bid.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-27-2\"><span class=\"wbua-cn\">27.2<\/span><div class=\"wbua-ct\"><p>Amended terms take effect 30 days after they are first posted on the Web Site. Western\u00a0Bid will also send notice of the amendment by email or through your Western\u00a0Bid Account; the amendment takes effect whether or not you read the notice. An amendment required by law, by a court or by a government authority, and a change to the Fee Schedule that reflects carrier, marketplace or other third-party charges, may take effect immediately upon posting. Western\u00a0Bid may ask you to confirm your acceptance of an amended version before you place new Orders or order new Services.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-27-3\"><span class=\"wbua-cn\">27.3<\/span><div class=\"wbua-ct\"><p>If you do not agree to an amendment, you may close your account before the amendment takes effect. Your continued access to or use of the Web Site or the Services after an amendment takes effect constitutes confirmation of your acceptance of this Agreement as amended. Logging in only to read a notice, obtain your records, complete an existing Order or close your account is not acceptance. Please check this Agreement periodically for updates.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-27-4\"><span class=\"wbua-cn\">27.4<\/span><div class=\"wbua-ct\"><p>An amendment does not apply to Orders placed before it took effect, or to a Claim that arose before it took effect.<\/p><\/div><\/div><\/section><section class=\"wbua-s\" id=\"ua-28\"><h2><span class=\"wbua-n\">28<\/span><span>Notices and Electronic Communications<\/span><\/h2><div class=\"wbua-c\" id=\"ua-28-1\"><span class=\"wbua-cn\">28.1<\/span><div class=\"wbua-ct\"><p>To the fullest extent permitted by applicable law, this Agreement and any other agreements, notices or other communications regarding your account and\/or your use of the Services (\u201cCommunications\u201d) may be provided to you electronically, and you agree to receive all Communications from Western\u00a0Bid in electronic form. Electronic Communications may be posted on the pages of the Web Site and\/or delivered to your email address. You may print a copy of any Communication and retain it for your records. All Communications, in either electronic or paper format, will be considered to be \u201cin writing\u201d.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-28-2\"><span class=\"wbua-cn\">28.2<\/span><div class=\"wbua-ct\"><p>Notices to Western\u00a0Bid must be given in writing by postal mail or courier to Western\u00a0Bid, Inc., 3500 W Hallandale Beach Blvd, Pembroke Park, FL 33023, USA, or by email to sales@westernbid.com. A notice of a Claim must be sent by postal mail or courier, with a copy by email.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-28-3\"><span class=\"wbua-cn\">28.3<\/span><div class=\"wbua-ct\"><p>We may give you notice by email to the email address you provided during registration, through your Western\u00a0Bid Account, or by regular mail or courier to the address you provided to Western\u00a0Bid. A notice sent by email or through your Western\u00a0Bid Account is treated as received on the next Business Day. A notice sent by mail or courier is treated as received when delivered or, if delivery fails because your address is out of date, when sent. A notice is effective even if you do not read it.<\/p><\/div><\/div><\/section><section class=\"wbua-s\" id=\"ua-29\"><h2><span class=\"wbua-n\">29<\/span><span>Relationship of the Parties<\/span><\/h2><div class=\"wbua-c\" id=\"ua-29-1\"><span class=\"wbua-cn\">29.1<\/span><div class=\"wbua-ct\"><p>You and Western\u00a0Bid are independent contracting parties. Nothing contained in this Agreement shall be deemed to constitute either party the agent or representative of the other party. This Agreement does not, and shall not be construed to, create any partnership, joint venture, employer-employee, agency or franchisor-franchisee relationship between you and us.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-29-2\"><span class=\"wbua-cn\">29.2<\/span><div class=\"wbua-ct\"><p>This Agreement is between you and us. No other person shall have any rights to enforce any of its terms, except that the persons named in Sections 22 to 24 may rely on those Sections.<\/p><\/div><\/div><\/section><section class=\"wbua-s\" id=\"ua-30\"><h2><span class=\"wbua-n\">30<\/span><span>General Provisions<\/span><\/h2><div class=\"wbua-c\" id=\"ua-30-1\"><span class=\"wbua-cn\">30.1<\/span><div class=\"wbua-ct\"><p><strong>Entire agreement.<\/strong> This Agreement, including the Policies and any terms and conditions incorporated by reference, is the entire agreement between you and Western\u00a0Bid regarding the supply of Products, the use of the Services and all directly and indirectly related matters. Subject to Section 1.6, it supersedes all prior or contemporaneous agreements, representations, warranties, statements, promises and understandings, whether oral or written, with respect to its subject matter.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-30-2\"><span class=\"wbua-cn\">30.2<\/span><div class=\"wbua-ct\"><p><strong>Severability.<\/strong> If any provision of this Agreement is held to be unenforceable for any reason, that provision shall be reformed only to the extent necessary to make it enforceable, and the other provisions remain in effect.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-30-3\"><span class=\"wbua-cn\">30.3<\/span><div class=\"wbua-ct\"><p><strong>No waiver.<\/strong> Western\u00a0Bid\u2019s failure to enforce any provision of this Agreement, or to act with respect to a breach of this Agreement by you, shall not be deemed a waiver of that provision, of Western\u00a0Bid\u2019s right to act with respect to subsequent or similar breaches, or of Western\u00a0Bid\u2019s right to enforce that provision or any provision of this or any other agreement.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-30-4\"><span class=\"wbua-cn\">30.4<\/span><div class=\"wbua-ct\"><p><strong>Assignment.<\/strong> You may not assign or transfer this Agreement, or any rights or obligations under it, without the express prior written consent of Western\u00a0Bid, which may be withheld in Western\u00a0Bid\u2019s sole discretion. Western\u00a0Bid may assign or transfer this Agreement and any of its rights and obligations under it without your consent.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-30-5\"><span class=\"wbua-cn\">30.5<\/span><div class=\"wbua-ct\"><p><strong>Survival.<\/strong> Sections 2, 3.3 to 3.5, 8, 10 to 15, 16.4, 17, 18 and 20 to 30, and any other provision that by its nature should survive, remain in effect after this Agreement ends.<\/p><\/div><\/div><div class=\"wbua-c\" id=\"ua-30-6\"><span class=\"wbua-cn\">30.6<\/span><div class=\"wbua-ct\"><p><strong>Language and interpretation.<\/strong> This Agreement is made in English. Any translation is provided for convenience only, and the English text prevails.
